Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by TheCorporation (“we,” “us,” or “our”), including the website at thecorporation.ai, the hosted cloud platform, chat interface, CLI tools, MCP server, API, and any related services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Accounts & Authentication
Access to the cloud platform requires authentication via magic link email. You are responsible for maintaining the security of your email account and any API keys generated for your workspace. You must notify us immediately of any unauthorized use.
We may suspend or terminate accounts that violate these Terms, engage in abusive behavior, or pose a risk to the Service or other users.
The Service
TheCorporation provides corporate governance infrastructure. The Service includes:
- Entity formation and management tools
- Cap table and equity management
- Document generation and storage
- Governance meeting and resolution tracking
- Compliance monitoring and filing automation (Cloud plan)
- AI-powered chat interface for corporate operations
- Open source CLI, API, and MCP server
We may modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to notify you of material changes.
Your Data
You retain ownership of all data you submit to the Service. Your corporate data is stored
in a git repository. On the Cloud plan, you may export your data at any time via
git clone.
We do not sell your data. We access your data only to provide the Service, maintain security, and comply with legal obligations. See our Privacy Policy for details.
Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorized access to any part of the Service
- Use the Service to store or transmit malicious code
- Reverse engineer the Service (except as permitted by the open source license)
- Resell or redistribute the hosted Service without permission
- Use automated systems to excessively burden the Service
Payment & Billing
The Open Source plan is free. The Cloud plan and add-ons are billed annually as described on our Pricing page. All fees are non-refundable except as required by law.
We may change pricing with 30 days’ notice. Price changes take effect at the next billing cycle.
Not a Law Firm — Not Legal Advice
TheCorporation is a software company, not a law firm. We do not provide legal advice, tax advice, financial advice, or any other professional advice. No attorney-client relationship is created by your use of the Service.
The Service generates corporate documents, governance templates, and compliance reminders using software automation and AI. These outputs are informational tools only. They may contain errors, may not reflect current law, and may not be appropriate for your specific situation or jurisdiction.
You are solely responsible for:
- Reviewing all documents and outputs generated by the Service before relying on them
- Consulting qualified legal counsel for legal matters, including entity formation, corporate governance, equity issuance, and regulatory compliance
- Consulting a qualified accountant or tax professional for tax matters
- Ensuring that your use of the Service complies with applicable laws and regulations
We make no representations or warranties that documents generated by the Service comply with the laws of any jurisdiction, are legally enforceable, or are suitable for any particular purpose. Use of the Service is not a substitute for professional legal or financial counsel.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
Termination
Either party may terminate at any time. You may stop using the Service and delete your account. We may suspend or terminate your access for violation of these Terms.
Upon termination of a Cloud plan, you may export your data via git clone
for 30 days. After that period, we may delete your data.
General Provisions
These Terms are governed by the laws of the State of Delaware, USA. Any disputes shall be resolved in the courts of Delaware.
These Terms constitute the entire agreement between you and TheCorporation regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect.
We may update these Terms from time to time. We will notify you of material changes via the email associated with your account. Continued use of the Service after changes constitutes acceptance.
